Reports to the Placement Agent. For a period of three (3) years from the Effective Date, the Company will use its best efforts to file with the Commission periodic and special reports as required by the Exchange Act and will also promptly furnish to the Placement Agent such additional documents and information with respect to the Company and the affairs of any future Subsidiaries of the Company as the Placement Agent may from time to time reasonably request; provided the Placement Agent shall sign, if requested by the Company, a Regulation FD compliant confidentiality agreement which is reasonably acceptable to the Placement Agent and Lucosky Brxxxxxx XLP in connection with the Placement Agent’s receipt of such information.
