Common use of Reports to the Representative Clause in Contracts

Reports to the Representative. For a period of five years from the Effective Date or until such earlier time upon which the Company is required to be liquidated, the Company will furnish to the Representatives and their counsel copies of such financial statements and other periodic and special reports as the Company from time to time furnishes generally to holders of any class of its securities, and promptly furnish to the Representative: (i) a copy of each periodic report the Company shall be required to file with the Commission; (ii) a copy of every press release and every news item and article with respect to the Company or its affairs which was released by the Company; (iii) a copy of each Form 8-K or Schedules 13D, 13G, 14D-1 or 13E-4 received or prepared by the Company; (iv) five copies of each Registration Statement; and (v) such additional documents and information with respect to the Company and the affairs of any future subsidiaries of the Company as the Representatives may from time to time reasonably request; provided the Representatives shall sign, if requested by the Company, a Regulation FD compliant confidentiality agreement which is reasonably acceptable to the Representatives and their counsel in connection with the Representatives’ receipt of such information. Documents filed with the Commission pursuant to its Electronic Data Gathering, Analysis and Retrieval System (“XXXXX”) shall be deemed to have been delivered to the Representatives pursuant to this section.

Reports to the Representative. For a period of five three (3) years from after the Effective Date or until such earlier time upon which the Company is required to be liquidateddate of this Agreement, the Company will shall furnish to the Representatives and their counsel Representative copies of such financial statements and other periodic and special reports as the Company from time to time furnishes generally to holders of any class of its securities, securities and also promptly furnish to the Representative: (i) a copy of each periodic report the Company shall be required to file with the CommissionCommission under the Exchange Act and the Exchange Act Regulations; (ii) a copy of every press release and every news item and article with respect to the Company or its affairs which was released by the Company; (iii) a copy of each Form 86-K or Schedules 13D, 13G, 14D-1 or 13E-4 received or prepared and filed by the Company; (iv) five copies of each Registration Statementregistration statement filed by the Company under the Securities Act; and (v) such additional documents and information with respect to the Company and the affairs of any future subsidiaries of the Company as the Representatives Representative may from time to time reasonably request; provided the Representatives Representative shall sign, if requested by the Company, a Regulation FD compliant confidentiality agreement which is reasonably acceptable to the Representatives Representative and their counsel Representative’s Counsel in connection with the Representatives’ Representative’s receipt of such information. Documents filed with the Commission pursuant to its Electronic Data Gathering, Analysis and Retrieval System (“XXXXX”) XXXXX system shall be deemed to have been delivered to the Representatives Representative pursuant to this sectionSection 3(h)(i).

For a period of five years from the Effective Date or until such earlier time upon which when the Company either completes its Business Combination or is required to be liquidated, the Company will furnish to the Representatives Representative and their its counsel copies of such financial statements and other periodic and special reports as the Company from time to time furnishes generally to holders of any class of its securities, and promptly furnish to the Representative: (i) a copy of each periodic report the Company shall be required to file files with the Commission; (ii) , a copy of every press release and every news item and article with respect to the Company or its affairs which that was released by the Company; (iii) , a copy of each current Report on Form 8-K or Schedules 13D, 13G, 14D-1 or 13E-4 received or prepared by the Company; (iv) five , two copies of each Registration Statement; registration statement filed by the Company with the Commission under the Act, and (v) such additional documents and information with respect to the Company and the affairs of any future subsidiaries of the Company as the Representatives Representative may from time to time reasonably request; provided the Representatives Representative shall sign, if requested by the Company, a Regulation FD compliant confidentiality agreement which is reasonably acceptable to the Representatives Representative and their counsel in connection with the Representatives’ Representative receipt of such information. Documents filed with the Commission pursuant to its Electronic Data Gathering, Analysis and Retrieval System (“XXXXX”) XXXXX system shall be deemed to have been delivered to the Representatives Representative pursuant to this sectionSection.

Reports to the Representative. For a period of five years from the Effective Date or until such earlier time upon which the Business Combination is consummated or the Company is required to be liquidatedliquidated or is no longer required to file reports under the Exchange Act, the Company will will, to the extent such information or documents are not otherwise publicly available, upon written request from the Representatives, furnish to the Representatives Representative and their its counsel copies of such financial statements and other periodic and special reports as the Company from time to time furnishes generally to holders of any class of its securities, and and, to the extent such information or documents are not otherwise publicly available, upon written request from the Representatives, promptly furnish to the RepresentativeUnderwriters: (i) a copy of each periodic and current report the Company shall be required to file with the Commission; , and (ii) a copy of every press release and every news item and article with respect to the Company or its affairs which was released by the Company; (iii) a copy of each Form 8-K or Schedules 13D, 13G, 14D-1 or 13E-4 received or prepared by the Company; (iv) five copies of each Registration Statement; and (v) such additional documents and information with respect to the Company and the affairs of any future subsidiaries of the Company as the Representatives Representative may from time to time reasonably request; provided the Representatives Representative shall sign, if requested by the Company, a Regulation FD compliant confidentiality agreement which is reasonably acceptable to the Representatives Representative and their its counsel in connection with the Representatives’ Representative’s receipt of such information. Documents filed with the Commission pursuant to its Electronic Data Gathering, Analysis and Retrieval System (“XXXXX”) XXXXX system shall be deemed to have been delivered to the Representatives Representative pursuant to this sectionSection.

For a period of five three years from the Effective Date or until such earlier time upon which the Company is required to be liquidatedDate, the Company will furnish to the Representatives and their counsel Representatives, to the extent not available on the Commission’s website, copies of such financial statements and other periodic and special reports as the Company from time to time furnishes generally to holders of any class of its securities, securities and also promptly furnish to the RepresentativeRepresentatives: (i) a copy of each periodic report the Company shall be required to file with the CommissionCommission or ASX; (ii) a copy of every press release release, ASX announcement and every news item and article with respect to the Company or its affairs which was released by the Company; (iii) a copy of each Form 86-K or Schedules 13D, 13G, 14D-1 or 13E-4 received or prepared and filed by the Company; (iv) five copies of each Registration Statementregistration statement filed by the Company under the Act and five copies of each prospectus or other disclosure document prepared by the Company under the Corporations Act; and (v) such additional documents and information with respect to the Company and the affairs of any future subsidiaries of the Company its Subsidiaries as the Representatives may from time to time reasonably request; provided the Representatives shall sign, if requested by the Company, a Regulation FD compliant confidentiality agreement which is reasonably acceptable to the Representatives and their counsel DLA Piper in connection with the Representatives’ receipt of such information. Documents filed with the Commission pursuant to its Electronic Data Gathering, Analysis and Retrieval System (“XXXXX”) XXXXX system shall be deemed to have been delivered to the Representatives pursuant to this sectionSection.

Reports to the Representative. Documents filed with the Commission pursuant to its Electronic Data Gathering, Analysis and Retrieval System (“XXXXX”) XXXXX system shall be deemed to have been delivered to the Representatives Representative pursuant to this sectionSection 3.9.1.

Reports to the Representative. Documents filed with the Commission pursuant to its Electronic Data Gathering, Analysis and Retrieval System (“XXXXX”) XXXXX system shall be deemed to have been delivered to the Representatives Representative pursuant to this sectionSection 3.11.

Reports to the Representative. Documents filed with the Commission pursuant to its Electronic Data Gathering, Analysis and Retrieval System (“XXXXXEXXXX”) shall be deemed to have been delivered to the Representatives Representative pursuant to this section.

Reports to the Representative. For a period of five years from the Effective Date or until such earlier time upon which the Company is required to be liquidatedliquidated or is no longer required to file reports under the Exchange Act, the Company will furnish to the Representatives Representative and their counsel its counsel, upon request by the Representative and its counsel, copies of such financial statements and other periodic and special reports as the Company from time to time furnishes generally to holders of any class of its securities, and promptly furnish to the Representative: Underwriters, upon request by the Underwriters, (i) a copy of each periodic report the Company shall be required to file with the Commission; , (ii) a copy of every press release and every news item and article with respect to the Company or its affairs which that was released by the Company; , (iii) a copy of each Current Report on Form 8-K or Schedules Schedule 13D, 13G, 14D-1 or 13E-4 received or prepared by the Company; , (iv) five two (2) copies of each Registration Statement; registration statement filed by the Company with the Commission under the Securities Act, and (v) such additional documents and information with respect to the Company and the affairs of any future subsidiaries of the Company as the Representatives Representative may from time to time reasonably request; provided the Representatives Representative shall sign, if requested by the Company, a Regulation FD compliant confidentiality agreement which is reasonably acceptable to the Representatives Representative and their its counsel in connection with the Representatives’ Representative’s receipt of such information.
