Reports to the Securities and Exchange Commission; 144A Information. (a) The Indenture Trustee shall, on behalf of the Issuer, cause to be filed with the Securities and Exchange Commission all monthly reports on Form 8-K and annual reports on Form 10-K required to be filed under the provisions of the Securities Exchange Act of 1934, as amended, and the rules and regulations of the Securities and Exchange Commission thereunder. Upon the request of the Indenture Trustee, each of the Servicer and the Transferor shall cooperate with the Indenture Trustee in the preparation of any such report and shall provide to the Indenture Trustee in a timely manner all such information or documentation as the Indenture Trustee may reasonably request in connection with the performance of its duties and obligations under this Section 4.09. The Indenture Trustee shall indemnify and hold harmless each of the Issuer and the Depositor for any costs, expenses or liability arising as a result of the failure of the Indenture Trustee to perform its duties and obligations under this Section 4.09.
