Common use of Representation and Agreement Clause in Contracts

Representation and Agreement. Notwithstanding Section 9.11 of the Equity Definitions, the parties agree that any Shares delivered to Citibank may be, upon delivery, subject to restrictions and limitations arising from Company’s status as issuer of the Shares under applicable securities laws, and Company makes no representation to the contrary thereunder relating to restrictions, obligations, limitations or requirements under applicable securities laws arising from the fact that Company is the issuer of the Shares.
