Representation and Warranties of Parent. Parent hereby represents and warrants to the Shareholder that Parent has the corporate power and authority to enter into this Agreement and perform all of its obligations under this Agreement. This Agreement has been duly and validly executed and delivered by Parent and constitutes a valid and binding agreement of Parent, enforceable against Parent in accordance with its terms.

Parent represents and warrants to Interactive that (a) Parent is a corporation duly organized, validly existing and in good standing under the laws of the State of California and has the corporate power and authority to enter into this Option Agreement and to carry out its obligations hereunder, (b) the execution and delivery of this Option Agreement by Parent and the consummation by Parent of the transactions contemplated hereby have been duly authorized by all necessary corporate action on the part of Parent and no other corporate proceedings on the part of Parent are necessary to authorize this Option Agreement or any of the transactions contemplated hereby, (c) this Option Agreement has been duly executed and delivered by Parent and constitutes a valid and binding obligation of Parent, and, assuming this Option Agreement constitutes a valid and binding obligation of Interactive, is enforceable against Parent in accordance with its terms, subject to bankruptcy, insolvency, fraudulent conveyance, reorganization, moratorium and similar laws of general applicability relating to or affecting creditors' rights and to general equity principles, and (d) any Subject Shares acquired upon exercise of the Stock Option will be, and the Stock Option is being, acquired by Parent for its own account and not with a view to the distribution or resale thereof in any manner which would be in violation of applicable United States securities laws. Parent acknowledges the provisions of the legend set forth on the top of the first page of this Option Agreement and covenants to abide by its terms.
