Representation and Warranties of Xxxxxxxxx. Xxxxxxxxx hereby represents and warrants to Cyprus as follows, which representations and warranties constitute a material inducement to Cyprus’s entering into this Agreement, and performing hereunder, including, without limitation, making its Initial Capital Contribution and Scheduled Capital Contributions. The representations and warranties of Xxxxxxxxx set forth herein or in any of the Closing Documents (collectively the “Xxxxxxxxx Representations and Warranties”) shall be deemed to be remade as of the Closing and shall survive the Closing, including the execution and delivery of the Closing Documents.
