Representation and Warranty as to Binding Effect. Each party hereto represents and warrants that, when executed and delivered by such party and assuming due authorization, execution and delivery by each other party hereto, this Agreement constitutes a valid and binding obligation of such party enforceable against such party in accordance with its terms, except as such enforcement is limited by bankruptcy, insolvency and other similar laws affecting the enforcement of creditors’ rights generally and for limitations imposed by general principles of equity.
