Common use of Representation and Warranty of GSK Clause in Contracts

Representation and Warranty of GSK. GSK hereby represents and warrants to ChemoCentryx, as of the Effective Date, without having conducted any special inquiry and without any further duty of inquiry, that: to the best of GSK’s knowledge and belief, GSK does not have any research, development, or commercialization activities (on its own behalf or with or for a Third Party) relating to the discovery of target-selective small molecule compounds which exclusively target any single target included within the Collaboration Targets, which activities are at the stage of candidate selection or later except in conjunction with ChemoCentryx and pursuant to this Agreement. The Parties understand that the representation and warranty made in this paragraph is applicable only with respect to the research, development and commercialization activities of GSK existing as of the Effective Date.
