Representation and Warranty of the Corporation. The Corporation represents and warrants to the Holders of Registrable Securities that, except as contemplated in this Agreement, the Corporation is not as of the date hereof under any obligation to register or qualify, nor has it agreed to grant registration or qualification rights with respect to, any presently outstanding securities, or securities which may be issued after the date of this Agreement, under the 1933 Act or under Canadian Securities Laws.
