Common use of Representation and Warranty of the Seller Clause in Contracts

Representation and Warranty of the Seller. The Seller hereby represents and warrants to the Trustee, for the benefit of the Certificateholders as of the Closing Date that: (i) it purchased the Mortgage Loans from the Originator pursuant to the Master Mortgage Loan Purchase Agreement and it is the owner, as of the Closing Date, of all right, title and interest in and to the Mortgage Loans; and (ii) on the Closing Date, it has sold the Mortgage Loans and has assigned its rights under the Master Mortgage Loan Purchase Agreement to Sequoia Residential Funding Inc.
