Common use of Representation By Counsel; No Strict Construction Clause in Contracts

Representation By Counsel; No Strict Construction. Buyer and Sellers acknowledge and agree that (a) the Parties have participated jointly in the negotiation and drafting of this Purchase Agreement, (b) each of them has been represented by counsel in connection with the negotiation of this Purchase Agreement and the transactions contemplated hereby and (c) the language used in this Purchase Agreement shall be deemed to be the language chosen by the Parties to express their mutual intent. In the event an ambiguity or question of intent or interpretation arises, this Purchase Agreement shall be construed as if drafted jointly by the Parties, no presumption or burden of proof shall arise favoring or disfavoring any Party by virtue of the authorship of any of the provisions of this Purchase Agreement. Any rule of Law or any legal decision that would require interpretation of any claimed ambiguities in this Purchase Agreement against the Party that drafted it shall have no application and is expressly waived.
