Representation by Customer Sample Clauses
The 'Representation by Customer' clause requires the customer to affirm certain facts or conditions as true at the time of entering into the agreement. Typically, this involves the customer confirming their authority to enter the contract, the accuracy of information provided, or compliance with relevant laws and regulations. By including this clause, the agreement ensures that the service provider can rely on the customer's statements, thereby reducing the risk of misunderstandings or disputes arising from false or incomplete information.
Representation by Customer. Customer represents that the Equipment is in good working order and has not been involved in any reported complaint event prior to the Effective Date.
Representation by Customer. Customer represents that it has all necessary permissions and rights to the Hosted Data and grants Cherwell a limited and non-exclusive license, for the sole purpose of providing services under this Addendum, to copy, display, distribute, download and transmit Hosted Data. To the extent Hosted Data is Confidential Information of Customer, it is subject to the terms of the Agreement, including the Confidentiality section, and to any other confidentiality agreement mutually agreed between Cherwell and Customer.
Representation by Customer. Customer represents that:
a. The Toxin is purchased solely for laboratory research and will not be used for any other or further purpose;
b. The Toxin will be controlled and maintained in full compliance with biosafety level 2 or 3 standards, whichever is required based on customer's utilization. Such standards are described in "Biosafety in Microbiological and Biomedical Laboratories" HHS Publication No. (NIH) 88-8395, 2nd edition, May 1988 and as the same may be amended or superseded;
c. Personnel who come into contact with the Toxin shall be fully trained and qualified in its handling and use;
Representation by Customer. Each request for data through CSG’s Check Verification Service shall constitute a representation, warranty and certification by Customer: (i) that the data shall be used and disclosed only in accordance with the terms of the Agreement, and in accordance with any applicable laws; (ii) that the data shall be used solely for the intended use as stated by Customer on the Agreement and that use is in compliance with the permissible uses under the FCRA as provided in the FCRA Requirements Addendum located at ▇▇▇▇://▇▇▇.▇▇▇▇▇.▇▇▇/fair-credit-reporting-act; (iii) Customer will follow proper procedures for ADVERSE ACTION NOTIFICATION to its customers, as provided in the FCRA Requirements Addendum located at ▇▇▇▇://▇▇▇.▇▇▇▇▇.▇▇▇/fair-credit-reporting-act; and (iv) Customer has implemented security measures to prohibit the unauthorized access to the information provided.
