Common use of Representation by Executive Clause in Contracts

Representation by Executive. Executive represents and warrants to the Company that he is not a party to any agreement containing a noncompetition provision or other restriction with respect to (i) the nature of any services or business which he is obligated or likely obligated to perform or conduct for the Company (or any other member of the Company Group) under this Agreement, or (ii) the disclosure or use of any information which directly or indirectly relates to the nature of the business of any member of the Company Group or the services to be rendered or likely to be rendered by Executive under this Agreement.

Representation by Executive. Executive represents and warrants to the Company that he Executive is not a party to any agreement containing a noncompetition provision or other restriction with respect to (i) the nature of any services or business which he Executive is obligated or likely obligated entitled to perform or conduct for the Company (or any other member of the Company GroupLadder Company) under this Agreement, or (ii) the disclosure or use of any information which directly or indirectly relates to the nature of the business of any member of the Ladder Company Group or the services to be rendered or likely to be rendered by Executive under this Agreement.

Representation by Executive. Executive represents and warrants to the Company that he is not a party to any agreement containing a noncompetition provision or other restriction with respect to (i) the nature of any services or business which he is obligated or likely obligated entitled to perform or conduct for the Company (or any other member of the Company GroupLadder Company) under this Agreement, or (ii) the disclosure or use of any information which directly or indirectly relates to the nature of the business of any member of the Ladder Company Group or the services to be rendered or likely to be rendered by Executive under this Agreement.

Representation by Executive. Executive represents and warrants to the Company that he is not a party to any agreement containing a noncompetition provision or other restriction with respect to (i) the nature of any services or business which he is obligated or likely obligated entitled to perform or conduct for the Company (or any other member of the Company Group) under this Agreementletter agreement, or (ii) the disclosure or use of any information which directly or indirectly relates to the nature of the business of any member of the Company Group or the services to be rendered or likely to be rendered by Executive under this Agreementletter agreement.

Representation by Executive. Executive represents and warrants to the Company that he is not a party to any agreement containing a noncompetition non-competition provision or other restriction with respect to (i) the nature of any services or business which he is obligated or likely obligated entitled to perform or conduct for the Company (or any other member of the Company Group) under this Agreementletter agreement, or (ii) the disclosure or use of any information which directly or indirectly relates to the nature of the business of any member of the Company Group or the services to be rendered or likely to be rendered by Executive under this Agreementletter agreement.

Representation by Executive. Executive hereby represents and warrants to the Company that he is not a party to any agreement containing a noncompetition provision agreement, contract or other restriction understanding, whether of employment or otherwise, which would in any way restrict or prohibit him from undertaking or performing employment with respect to (i) the nature of any services or business which he is obligated or likely obligated to perform or conduct for the Company (or any other member in accordance with the terms and conditions of the Company Group) under this Agreement, or (ii) the disclosure or use of any information which directly or indirectly relates to the nature of the business of any member of the Company Group or the services to be rendered or likely to be rendered by Executive under this Agreement.

Representation by Executive. Executive represents and warrants to the Company that he she is not a party to any agreement containing a noncompetition provision or other restriction with respect to (i) the nature of any services or business which he she is obligated or likely obligated to perform or conduct for the Company (or any other member of the Company Group) under this Agreement, or (ii) the disclosure or use of any information which directly or indirectly relates to the nature of the business of any member of the Company Group or the services to be rendered or likely to be rendered by Executive under this Agreement.

Representation by Executive.
