Representation by the Executive. The Executive hereby represents to the Corporation that the execution and delivery of this agreement by the Executive and the Corporation and the performance by the Executive of his responsibilities and duties hereunder shall not constitute a breach of, or otherwise contravene, the terms of any employment agreement or other agreement or policy to which the Executive is a party or otherwise bound.

The Executive hereby represents to and warrants that his or her entering into this Agreement does not, and that his or her performance under this Agreement will not, violate the Corporation that the execution and delivery of this agreement by the Executive and the Corporation and the performance by the Executive of his responsibilities and duties hereunder shall not constitute a breach of, or otherwise contravene, the terms provisions of any employment agreement or other agreement or policy instrument to which the Executive is a party or otherwise boundany decree, judgment or order to which the Executive is subject, and that this Agreement constitutes a valid and binding obligation of the Executive in accordance with its terms. Breach of this representation will render all of the Corporation’s obligations under this Agreement void ab initio.
