REPRESENTATION OF THE CONSULTANT. The Consultant represents that he is a qualified expert in his field in terms of providing Consulting Services to the Company and his provision of the Consulting Services is legal.

REPRESENTATION OF THE CONSULTANT. The Consultant or represents and warrants to the Client that the Consultant is free to enter into this Agreement and has no commitment, arrangement or understanding to or with any party that restrains or is in conflict with the Consultant’s performances of the covenants, services and duties provided for in this Agreement. The Consultant agrees to indemnify the Client and to hold it harmless against any and all liabilities or claims arising out of any unauthorized act or acts by the Consultant that, the foregoing representation and warranty to the contrary notwithstanding, are in violation, or constitute a breach, of any such commitment, arrangement or understanding.
REPRESENTATION OF THE CONSULTANT. (a) Consultant acknowledges that the shares of common stock to be issued pursuant to this Agreement (collectively, the “Shares”) have not been and will not be registered under the Securities Act of 1933, and accordingly are “restricted securities” within the meaning of Rule 144 of the Act. As such, the Shares may not be resold or transferred unless the Company has received an opinion of counsel reasonably satisfactory to the Company that such resale or transfer has been registered under the Act or is exempt from the registration requirements of that Act.
