Common use of Representations and Agreements to Survive Clause in Contracts

Representations and Agreements to Survive. All representations, warranties and other statements of the Corporation herein or in certificates delivered pursuant hereto shall remain operative and in full force and effect regardless of (i) any termination of this Agreement, (ii) any investigation made by or on behalf of any Agent, and any of their respective officers, employees or agents, any person controlling any Agent, or any affiliate of any Agent, or by or on behalf of the Corporation, its officers or directors or any person controlling the Corporation and (iii) acceptance of and payment for any of the Shares.

All representations, representations and warranties and other statements of the Corporation herein or in certificates delivered pursuant hereto shall remain operative and in full force and effect regardless of (i) any termination of this Agreement, (ii) any investigation made by or on behalf of any the Agent, and any of their respective its officers, employees or agents, any person controlling any the Agent, or any affiliate of any Agent, or by or on behalf of the Corporation, its officers or directors or any person controlling the Corporation Agent and (iii) acceptance of and payment for any of the SharesPlacement Units.

(a) All representations, warranties warranties, covenants and other statements agreements of the Corporation herein or in certificates delivered pursuant hereto shall remain operative and in full force and effect regardless of (i) any termination of this Agreement, (ii) any investigation made by or on behalf of any Agent, and the Agents (or any of their respective officers, employees directors or agentscontrolling Persons), any person controlling any Agent, or any affiliate of any Agent, or by or on behalf (ii) delivery and acceptance of the Corporation, its officers Placement Shares and payment therefor or directors or any person controlling the Corporation and (iii) acceptance any termination of and payment for any of the Sharesthis Agreement.

All representations, representations and warranties and other statements of the Corporation herein or in certificates or Placement Notices delivered pursuant hereto shall remain operative and in full force and effect regardless of of (i) any termination of this Agreement, (ii) any investigation made by or on behalf of any the Agent, and any of their respective its officers, employees or agents, any person controlling any the Agent, or any affiliate of any Agent, or by or on behalf of the Corporation, its officers or directors or any person controlling the Corporation Agent and (iii) delivery and acceptance of and payment for any of the Placement Shares.
