Common use of Representations and Covenants of Indenture Trustee Clause in Contracts

Representations and Covenants of Indenture Trustee. The Indenture Trustee represents, warrants and covenants that: (i) the Indenture Trustee is a banking corporation duly organized and validly existing under the laws of New York; (ii) the Indenture Trustee has full power and authority to deliver and perform this Indenture and has taken all necessary action to authorize the execution, delivery and performance by it of this Indenture and other Transaction Documents to which it is a party; and (iii) each of this Indenture and the other Transaction Documents to which it is a party has been duly executed and delivered by the Indenture Trustee and constitutes its legal, valid and binding obligation in accordance with its terms.
