Representations and Covenants of Indenture Trustee. Indenture Trustee represents, warrants and covenants that: (a) Indenture Trustee is a national banking association duly organized and existing under the laws of the United States; (b) Indenture Trustee has full power and authority to deliver and perform the Indenture and has taken all necessary action to authorize the execution, delivery and performance by it of the Indenture and other Transaction Documents to which it is a party; and (c) Each of the Indenture and the other Transaction Documents to which it is a party has been duly executed and delivered by Indenture Trustee and constitutes its legal, valid and binding obligation in accordance with its terms.
