Representations and Covenants of the Employee. (a) The Employee represents and warrants to the Company that he is not a party to or bound by any presently effective agreement or contract, whether of employment or otherwise, with any third person or entity that would in any way restrict or prohibit the Employee from undertaking or performing his obligations on the terms and conditions set forth in this Agreement. (b) The Employee covenants with the Company that he shall not, during the Employment Term, enter into any such agreement, contract or understanding described in Section 6(a) above so as to cause the Company, or any of its subsidiaries or affiliated companies, to be liable in connection therewith.
