Common use of Representations and Disclaimers of Assignor Clause in Contracts

Representations and Disclaimers of Assignor. The Assignor: (a) represents and warrants that it is the legal and beneficial owner of the Transferred Interest, free and clear of any Liens; (b) makes no representation or warranty and assumes no responsibility with respect to any statements, warranties or representations made in or in connection with the Credit Agreement, any other Transaction Document, or any other instrument or document furnished pursuant thereto or the execution, legality, validity, enforceability, genuineness, sufficiency or value of any of the foregoing; and (c) makes no representation or warranty and assumes no responsibility with respect to the financial condition of the Borrower or the Servicer, or the performance or observance by either such party (or any other Person) of any of its respective obligations under the Credit Agreement, any other Transaction Document, or any other instrument or document furnished pursuant thereto.
