Representations and Indemnification by Cognigen. Cognigen represents and warrants to the Buyers that Cognigen has not employed and does not intend to employ any person on its behalf as a finder in connection with the transactions herein contemplated and agrees to indemnify the Buyers against any liability arising from the claims of any persons claiming to have acted as finders or brokers and against any other damages suffered as a consequence of the falsity or breach of this Section 12.2.
