Representations and Indemnities to Survive Delivery. The respective agreements, representations, warranties, indemnities and other statements of the Company or its officers and of the Underwriters set forth in or made pursuant to this Agreement will remain in full force and effect, regardless of any investigation made by or on behalf of any Underwriter or the Company or any of their respective officers, directors or controlling persons within the meaning of the Act, and will survive delivery of and payment for the Debt Securities. The provisions of Sections 5, 8 and 9 hereof shall survive the termination or cancellation of this Agreement.

Representations and Indemnities to Survive Delivery. The respective indemnities, agreements, representations, warranties, indemnities warranties and other statements of the Company or Company, of its officers and of the several Underwriters set forth in or made pursuant to this Agreement will remain operative and in full force and effect, regardless of any investigation (A) investigation, or statement as to the results thereof, made by or on behalf of any Underwriter, the officers or employees of any Underwriter, or any person controlling the Underwriter or the Company or any of their respective officers, directors or controlling persons within the meaning (B) acceptance of the Act, and will survive delivery of Securities and payment for the Debt Securitiesthem hereunder. The provisions of Sections Section 5, 8 Section 7, Section 8, Section 9, this Section 13 and 9 Section 17 hereof shall survive the termination or cancellation of this Agreement.
