Representations and No Default. The Administrative Agent shall have received a certificate, dated the Amendment No. 1 Effective Date and signed by a Responsible Officer of the Borrowers, confirming both before and after giving effect to the Incremental Euro Term B-3 Loans (x) the representations and warranties of the Loan Parties set forth in the Existing Credit Agreement and the other Loan Documents are true and correct on and as of the Amendment No. 1 Effective Date and (y) no Default or Event of Default has occurred and is continuing.
Representations and No Default. The Administrative Agent shall have received a certificate, dated the Sixth A&R Effective Date and signed by a Responsible Officer of the Borrowers, confirming both before and after giving effect to this Amendment (x) the representations and warranties of each Loan Party contained in Article V of the Amended Credit Agreement and the other Loan Documents are true and correct in all material respects on and as of the Sixth A&R Effective Date; provided that, to the extent that such representations and warranties specifically refer to an earlier date, they are true and correct in all material respects as of such earlier date and (y) no Default or Event of Default has occurred and is continuing.
