Representations and Warranties; Absence of Material Changes in Schedules. All representations and warranties of the Company and of Company Sub contained in this Agreement shall be true in all material respects on and as of the Closing Date, and each of the Company and Company Sub shall have performed all agreements and covenants required by and terms and conditions of this Agreement to be performed by it on or prior to the Closing Date.
