Representations and Warranties; Agreements; No Default. The representations and warranties of the Company set forth in this Agreement will be true in all material respects at and as if repeated on and as of the Closing Time after giving effect to the transactions contemplated hereby; and the Company will have executed, delivered and consummated all Recapitalization Documents on its part to be performed pursuant to this Agreement on or prior to the Closing Time.
