REPRESENTATIONS AND WARRANTIES AND PERFORMANCE. The representations and warranties of NWA Corp. contained herein shall have been true and correct in all material respects when made and in addition shall be true and correct in all material respects at and as of the Initial Closing Date with the same effect as though made at and as of the Initial Closing Date. NWA Corp. shall have performed in all material respects all obligations and shall have complied in all material respects with all covenants and other agreements required by this Agreement to be performed or complied with by NWA Corp. at or prior to the Initial Closing Date.
