Representations and Warranties at the Effective Time. All representations and warranties of Shelby County and SCSB contained herein shall be true, accurate and complete in all material respects on and as of the Effective Time as though made or given at such time, except as otherwise expressly contemplated by this Agreement.

Fundamental Representations shall be true, accurate and correct in all respects on and as of the Effective Time (except that representations and warranties that by their express terms speak as of the date of this Agreement or some other date shall be true and correct only as of such date).
