Representations and Warranties by Each. Partner Each Partner hereby represents and warrants to the other Partner the following: (a) It has the legal power, right and authority to consummate the transactions contemplated hereby. All actions required to be taken by it to consummate the transactions contemplated hereby have been taken. (b) This Agreement and all other documents that have been executed and delivered by such Partner pursuant to this Agreement constitute valid and binding obligations of such Partner, enforceable against such Partner in accordance with their respective terms. (c) The execution and delivery of this Agreement by such Partner, the incurrence by it of the obligations herein set forth, the consummation of the transactions contemplated hereby, the compliance by such Partner with the terms of this Agreement and the operation by it of the business of the Partnership do not and will not conflict with or result in a breach of any of the terms, conditions or provisions of, or do not and will not constitute a default under, (i) any bond, note or other evidence of indebtedness or other contract, indenture, mortgage, deed of trust, loan agreement, lease or other instrument to which such Partner is a party or by which it is bound or (ii) any order, finding or decree of any court or governmental authority having jurisdiction.
