Representations and Warranties by Employee. Employee hereby represents and warrants, the same being part of the essence of this Agreement, that, as of the Commencement Date, he is not a party to any agreement, contract or understanding, and no others facts or circumstances exist, which would in any way restrict or prohibit him from undertaking or performing any or his obligations under this Agreement. The foregoing representation and warranty shall remain in effect throughout the Term.
