Common use of Representations and Warranties Correct; Performance Clause in Contracts

Representations and Warranties Correct; Performance. The representations and warranties of Sellers contained in this Agreement (including as provided in ARTICLE V), herein and the exhibits and schedules hereto), the Sellers Disclosure Schedule and in each Transaction Document shall be true, complete and accurate when made and on, as of the date hereof and on the Closing. Sellers shall have duly and properly performed, complied with and observed their covenants, agreements and obligations contained in this Agreement and in each Transaction Document to be performed, complied with and observed on or before the Closing. The Purchaser shall have received a certificate(s) executed by each Seller to that effect.

Sellers Purchaser shall have duly and properly performed, complied with and observed their each of its covenants, agreements and obligations contained in this Agreement and in each the other Transaction Document Documents to be performed, complied with and observed on or before the Closing. The Purchaser shall have received delivered to Seller Representative a certificate(s) executed certificate signed by each Seller Purchaser, dated as of Closing, to that such effect.
