Representations and Warranties; Covenants; Absence of Default. Each of the representations and warranties made by or on behalf of the Borrowers under the Loan Documents is true and correct in all material respects on and as of the Closing Date. Each Borrower has performed in all material respects all covenants and other agreements that are required under Loan Documents to be performed by such Borrower on or prior to the Closing Date. No Default or Event of Default has occurred and is continuing on the Closing Date. There has been no development or event that has had or could reasonably be expected to have a Material Adverse Effect.
