Common use of Representations and Warranties, Covenants of Lessor Clause in Contracts

Representations and Warranties, Covenants of Lessor. Lessor represents and warrants to Lessee that there are no circumstances known to Lessor or commitments to third parties (including, without limitation, liens, or activities that may adversely affect the System’s direct or indirect exposure to sunlight) that may damage, impair or otherwise adversely affect Lessee’s rights under this Agreement or the System and/or its function. Lessor represents and warrants that Lessor has lawful title to the Site and the Premises and full right to enter into this Agreement and that Lessee shall have quiet and peaceful possession of the Premises throughout the term of this Agreement. Lessor will not initiate or conduct activities that it knows or reasonably should know may damage, impair or otherwise adversely affect the System or its function (including activities that may adversely affect the System’s direct or indirect exposure to sunlight). Lessor will not conduct maintenance to the Site or the Premises that is reasonably likely to damage, impair or otherwise adversely affect the System or its function.
