REPRESENTATIONS AND WARRANTIES FROM THE VENDORS. 1. The Company is a domestic joint venture company with limited liability duly established and validly existing under the laws of the PRC and has the corporate powers to carry on the business presently carried on by it and to own and hold the assets used therewith. INCORPORATION OF SCHEDULE 8 Knowing that the Purchasers are relying thereon, each of the Vendors, jointly and severally, represent and warrant to the Purchasers as set forth on Schedule 8, and, with respect to Vendors' Warranties set forth therein, Schedules 11 and 16, subject in each case to any matter which is disclosed in the Disclosure Letter.
