All representations and warranties set forth in this Indenture and the other Note Documents are true and correct in all respects at the time as of which such representations were made and on the Issue Date. After giving effect to the Recapitalization, no Event of Default will have occurred and be continuing and no condition exists which constitutes a Default or an Event of Default.
