Representations and Warranties in Documents; No Default. All representations and warranties set forth in this Agreement and the other Transaction Documents are true and correct in all respects on the Effective Date and on the Closing Date (except to the extent that any such representations or warranties relate solely to an earlier date). No Event of Default has occurred and is continuing and no condition exists which constitutes a Default or an Event of Default.
