All representations and warranties set forth in this Agreement and the other Funding Documents are true and correct in all respects at the time as of which such representations were made and on the Closing Date. No Event of Default has occurred and is continuing and no condition exists which constitutes a Default or an Event of Default (other than those expressly waived pursuant to the Purchase Agreement Amendment).
