Common use of Representations and Warranties in Documents Clause in Contracts

Representations and Warranties in Documents. All representations and warranties set forth in the other Loan Documents and the Transaction Documents were true and correct in all material respects at the time as of which such representations and warranties were made (or deemed made), provided that to the extent the representations and warranties in the Transaction Documents are made by persons other than the Loan Parties, then the representations and warranties so made by such persons shall be deemed to be true and correct in all material respects for purposes of this Section 3.22 unless the aggregate effect of all misrepresentations made by such other persons in the Transaction Documents are such as would evidence a material adverse change in the operations, properties, condition (financial or otherwise) or prospects of the Borrower from that which would have applied if all representations made by such other persons in the Transaction Documents had been true and correct in all respects.
