Representations and Warranties Incorporated from Other Operative Documents. As of the Closing Date, each of the representations and warranties made in the Operative Documents by each of the Credit Parties thereto and, to the Credit Parties' knowledge, each of the representations and warranties made in the Operative Documents by each party other than a Credit Party, is true and correct in all material respects, and such representations and warranties are hereby incorporated herein by reference with the same effect as though set forth in their entirety herein, as qualified therein, except to the extent that such representation or warranty relates to a specific date, in which case such representation and warranty shall be true as of such earlier date.
