Representations and Warranties Liabilities. 16.1 Each party warrants to the other party that it has, and throughout the term of this Agreement shall retain, the full right, power, and authority to enter into this Agreement and to perform its obligations hereunder, and that this Agreement will be executed by a duly authorized representative and once executed shall constitute a legal, valid and binding obligation on each party.
