Common use of Representations and Warranties; No Responsibility for Appraisal of Credit Worthiness Clause in Contracts

Representations and Warranties; No Responsibility for Appraisal of Credit Worthiness. Each Lender represents and warrants that it has made its own independent investigation of the financial condition and affairs of the Borrowers and their Subsidiaries in connection with the making of the Loans and that it has made and shall continue to make its own appraisal of the creditworthiness of the Borrowers and their Subsidiaries. The Administrative Agent shall not have any duty or responsibility, either initially or on a continuing basis, to make any such investigation or any such appraisal on behalf of Lenders or to provide any Lender with any credit or other information with respect thereto, whether coming into its possession before the making of the Loans or at any time or times thereafter, and the Administrative Agent shall not have any responsibility with respect to the accuracy of or the completeness of any information provided to Lenders.

Each Lender represents and warrants to the Agents and each other Lender that it has made its own independent investigation of the financial condition and affairs of the Borrowers and their Subsidiaries members of the Borrower Group in connection with the making of the Loans hereunder and that it has made and shall continue to make its own appraisal of the creditworthiness of the Borrowers and their Subsidiariesmembers of the Borrower Group. The Administrative No Agent shall not have any duty or responsibility, either initially or on a continuing basis, to make any such investigation or any such appraisal on behalf of the Lenders or to provide any Lender with any credit or other information with respect thereto, whether coming into its possession before the making of the Loans or at any time or times thereafter, and the Administrative no Agent shall not have any responsibility with respect to the accuracy of or the completeness of any information provided to the Lenders.

The Administrative Neither Agent shall not have any duty or responsibility, either initially or on a continuing basis, to make any such investigation or any such appraisal on behalf of Lenders or to provide any Lender with any credit or other information with respect thereto, whether coming into its possession before the making of the Loans or at any time or times thereafter, and the Administrative neither Agent shall not have any responsibility with respect to the accuracy of or the completeness of any information provided to Lenders.

Each Lender represents and warrants that it has made its own independent investigation of the financial condition and affairs of Borrower, Guarantors, and the Borrowers and their Subsidiaries Loan Parties in connection with the making of the Loans hereunder, and that it has made and shall continue to make its own appraisal of the creditworthiness of Borrower, Guarantors and the Borrowers and their SubsidiariesLoan Parties. The Administrative Agent shall not have any no duty or responsibility, either initially or on a continuing basis, to make any such investigation or any such appraisal on behalf of Lenders or to provide any Lender with any credit or other information with respect thereto, whether coming into its possession before the making of the Loans or at any time or times thereafterthereafter (except such information as is, pursuant to the terms of this Agreement, required to be circulated by Agent to Lenders), and the Administrative Agent shall not have any no responsibility with respect to the accuracy of or the completeness of any information provided to Lenders.

The Administrative No Agent shall not have any duty or responsibility, either initially or on a continuing basis, to make any such investigation or any such appraisal on behalf of Lenders or to provide any Lender with any credit or other information with respect thereto, whether coming into its possession before the making of the Loans or at any time or times thereafter, and none of the Administrative Arrangers, Co-Syndication Agents or Agent shall not have any responsibility with respect to the accuracy of or the completeness of any information provided to Lenders.
