Common use of Representations and Warranties; No Responsibility for Appraisal of Creditworthiness Clause in Contracts

Representations and Warranties; No Responsibility for Appraisal of Creditworthiness. Each Lender represents and warrants that it has made its own independent investigation of the financial condition and affairs of the Borrower, the Stockholders and any Subsidiaries of any of them in connection with the making of the Loans hereunder and has made and shall continue to make its own appraisal of the creditworthiness of the Borrower, the Stockholders and the Subsidiaries. The Agent shall not have any duty or responsibility, either initially or on a continuing basis, to make any such investigation or any such appraisal on behalf of Lenders or to provide any Lender with any credit or other information with respect thereto whether coming into its possession before the making of any Loan or any time or times thereafter (except for information received by the Agent under Section 5.3 hereof which the Agent will promptly forward to the Lenders), and the Agent shall further not have any responsibility with respect to the accuracy of or the completeness of the information provided to any of the Lenders.

Each Lender represents and warrants that it has made its own independent investigation of the financial condition and affairs of the Borrower, the Stockholders Company and any its Subsidiaries of any of them in connection with the making of the Loans Loans, the creation of Acceptances and the issuance of Letters of Credit hereunder and that it has made and shall continue to make its own appraisal of the creditworthiness of the Borrower, the Stockholders Company and the its Subsidiaries. The No Primary Agent shall not have any duty or responsibility, either initially or on a continuing basis, to make any such investigation or any such appraisal on behalf of Lenders or to provide any Lender with any credit or other information with respect thereto thereto, whether coming into its possession before the making of any Loan the Loans or at any time or times thereafter (except for such information received by the Agent under Section 5.3 hereof which the Agent will promptly forward as is, pursuant to the terms of this Agreement, required to be circulated by such Primary Agent, to Lenders), and the no Primary Agent shall further not have any responsibility with respect to the accuracy of or the completeness of the any information provided to any of the Lenders.

The Agent shall not have any duty or responsibility, responsibility either initially or on a continuing basis, basis to make any such investigation or any such appraisal on behalf of Lenders or to provide any Lender with any credit or other information with respect thereto whether coming into its possession before the making of any Loan or any time or times thereafter (except for information received by the Agent under Section 5.3 hereof which the Agent will promptly forward to the Lenders), and the Agent shall further not have any responsibility with respect to the accuracy of or the completeness of the information provided to any of the Lenders.

Each Lender represents and warrants that it has made its own independent investigation of the financial condition and affairs of the Borrower, the Stockholders Parent, each Host Company and any Subsidiaries of any of them the Projects in connection with entering into this Agreement and the making of the Loans Advances hereunder and that it has made and shall continue to make its own appraisal of the creditworthiness of the Borrower, the Stockholders Parent, each Host Company and the SubsidiariesProjects. The Administrative Agent shall not have any duty or responsibility, either initially or on a continuing basis, to make any such investigation or any such appraisal on behalf of the Lenders or to provide any Lender with any credit or other information with respect thereto thereto, whether coming into its possession before the making of any Loan the Advances or at any time or times thereafter (except for information received by the Agent under Section 5.3 hereof which the Agent will promptly forward to the Lenders)thereafter, and the Administrative Agent shall further not have any responsibility with respect to the accuracy of or the completeness of any information provided, directly or indirectly, to the information provided to Lenders by the Borrower, the Parent, any of the LendersHost Company, any Affiliate or any employee, officer, director or agent thereof.

Each Lender represents and warrants that it has made its own independent investigation of the financial condition and affairs of the Borrower, the Stockholders Company and any its Subsidiaries of any of them in connection with the making of the Loans and the issuance of Letters of Credit hereunder and that it has made and shall continue to make its own appraisal of the creditworthiness of the Borrower, the Stockholders and the SubsidiariesCompany. The Agent shall not have any duty or responsibility, either initially or on a continuing basis, to make any such investigation or any such appraisal on behalf of Lenders or to provide any Lender with any credit or other information with respect thereto (other than information that Company is required to furnish to Agent on behalf of Lenders, and that actually is so furnished, pursuant to the express terms of this Agreement or any other Loan Document), whether coming into its possession before the making of any Loan the Loans or at any time or times thereafter (except for information received by the Agent under Section 5.3 hereof which the Agent will promptly forward to the Lenders)thereafter, and the Agent shall further not have any responsibility with respect to the accuracy of or the completeness of the any information provided to any of the Lenders.
