REPRESENTATIONS AND WARRANTIES OF ACQUIRER AND SUB
Acquirer and Sub represent and warrant to Target that the statements contained in this Article IV are true and correct, except as set forth in the disclosure schedule delivered by Acquirer to Target on or before the date of this Agreement (the "Acquirer Disclosure Schedule"). All disclosures set forth in the Acquirer Disclosure Schedule shall refer to the corresponding numbered and lettered Sections of this Article IV to which they principally pertain. For purposes of this Agreement, the phrase "Acquirer Material Adverse Effect" means a material adverse effect on the business, operations, financial condition, or results of operations of Acquirer and its Subsidiaries, taken as a whole.
