REPRESENTATIONS AND WARRANTIES OF AFS, IN ITS CAPACITY AS SERVICER. AFS makes the following representations and warranties on which the Borrower is deemed to have relied in acquiring the Receivables and on which the Secured Parties have relied in advancing funds to the Borrower under the Funding Agreement. The representations speak as of the execution and delivery of this Agreement and as of each Receivables Sale Date with respect to the Receivables sold on such date, and shall survive the sale of the Receivables to the Borrower and the pledge thereof to the Funding Agent on behalf of the Secured Parties.

  • Representations and Warranties of Servicer The Servicer makes the following representations and warranties on which the Trust shall be deemed to have relied in accepting the Trust Property. The representations and warranties speak as of the execution and delivery of this Agreement and shall survive the sale, transfer, assignment and conveyance of the Trust Property to the Trust pursuant to this Agreement and the pledge of the Trust Property to the Indenture Trustee pursuant to the Indenture.
