REPRESENTATIONS AND WARRANTIES OF ALLIANCE AND ALLIANCE BANK. Except as set forth in the disclosure schedule delivered by Alliance and Alliance Bank to Eagle prior to the date hereof (the “Alliance Disclosure Schedule”), Alliance and Alliance Bank represent and warrant to Eagle as follows:
REPRESENTATIONS AND WARRANTIES OF ALLIANCE AND ALLIANCE BANK. Alliance and Alliance Bank hereby represent to Eagle and EagleBank as follows: (i) each of Alliance and Alliance Bank has full corporate power and authority to execute, deliver and perform this Agreement; (ii) this Agreement has been duly and validly authorized by their respective boards of directors and executed and delivered by each of them and constitutes a valid binding obligation of each of them, enforceable against each of them in accordance with its terms, except as such enforceability may be limited by bankruptcy, insolvency, fraudulent conveyance, reorganization, moratorium or other similar laws now or hereafter in effect relating to creditors’ rights generally and by general equitable principles; (iii) neither Alliance nor Alliance Bank has assigned, transferred or conveyed to any other person any claim or any portion thereof or interest therein relating to any matters that are the subject of this Agreement; and (iv) neither Alliance nor Alliance Bank has filed or caused to be filed any lawsuit, action or proceeding against any other party that arises out of, concerns and/or in any way relates to the Merger Agreement or the Bank Merger Agreement
