REPRESENTATIONS AND WARRANTIES OF ALLIANZ LIFE. Allianz Life hereby makes the following representations and warranties to Buyer as of the date hereof and the Closing Date, except as otherwise set forth in the schedules attached hereto (the “Disclosure Schedules”). A matter disclosed in any Disclosure Schedule shall be deemed disclosed for purposes of all other Disclosure Schedules and these representations and warranties to the extent such disclosure is clearly stated in such a way as to alert Buyer to its relevance to, or provide the information called for by, another section of this Agreement.
