Common use of REPRESENTATIONS AND WARRANTIES OF ALS Clause in Contracts

REPRESENTATIONS AND WARRANTIES OF ALS. ALS represents and warrants that: (a) it is duly organized, validly existing and in good standing under the laws of Delaware, that it has full corporate power and authority to enter into this Agreement and to carry out its provisions, and that there are no outstanding agreements, assignments or encumbrances in existence to which ALS is a party or otherwise bound that are inconsistent with the provisions of this Agreement; (b) it has authorized the execution and delivery of this Agreement and the performance of its obligations hereunder; and (c) the execution, delivery and performance of this Agreement by it does not require the consent, approval or authorization of or notice to, or filing or registration with, any governmental agency or Regulatory Authority.
