REPRESENTATIONS AND WARRANTIES OF ALTTECH. 4.1 Alttech's Representations and Warranties. Alttech and the Alttech Members, as applicable, represents and warrants to Lexus, as at the date of this Agreement and as at the Time of Closing, as follows, and Alttech and the Alttech Members acknowledge and confirm that Lexus is relying on such representations and warranties in connection with the purchase by Lexus of the Alttech Shares and the completion by Lexus of the transactions contemplated by this Agreement:
