Representations and Warranties of Amalgamated. Amalgamated represents and warrants to, and covenants with, the MegaMedia Stockholders and MegaMedia as follows:
Representations and Warranties of Amalgamated. For the purpose of inducing Snake River and the Company to enter into and perform this Agreement, Amalgamated represents and warrants to Snake River and the Company that the statements contained in this Article III are correct and complete as of the date of this Agreement and will be correct and complete as of the Closing Date (as though made then and as though the Closing Date were substituted for the date of this Agreement throughout this Article III), except as set forth in SCHEDULE 3.
