Representations and Warranties of ASM. The representations and warranties made by ASM in Article VI of this Agreement shall be true and correct in all respects when made and shall be true and correct in all respects (without giving effect to any “material” qualifier contained therein) as of the Closing Date (unless such representations or warranties relate to a specific earlier date, in which case, such representations and warranties shall be true and correct as of such earlier date) with the same force and effect as though said representations and warranties had been made at such times, except that any inaccuracies in such representations and warranties will be disregarded if the circumstances giving rise to all such inaccuracies (considered collectively) do not constitute, and would not reasonably be expected to have, a material adverse change in the financial condition or business operations of ASM.
