Common use of Representations and Warranties of Authority Clause in Contracts

Representations and Warranties of Authority. a. Private Entity represents and warrants that it has legal authority to enter into this Agreement and perform all of its obligations herein, that all Work under this Agreement shall be performed by appropriately licensed entities or individuals when required, and that the execution of this Agreement by it has been duly and properly authorized. As a condition to this Agreement's effectiveness, Private Entity shall provide to Owner a certificate in form and with attachments satisfactory to Owner showing to Owner's satisfaction Private Entity's legal existence and authority to enter into this Agreement. b. Owner represents and warrants that it has legal authority to enter into this Agreement and perform all its obligations herein and that the execution of this Agreement by it has been duly and properly authorized, including approval by the local governing body in accordance with Va. Code § 56-- 575.16 (as evidenced by the signature of approval on behalf of Owner affixed to this Agreement).

As a condition to this Agreement's ’s effectiveness, Private Entity Contractor shall provide to Owner a certificate in form and with attachments satisfactory to Owner showing to Owner's ’s satisfaction Private Entity's Contractor’s legal existence and authority to enter into this Agreement. b. Owner represents and warrants that it has legal authority to enter into this Agreement and perform all its obligations herein and that the execution of this Agreement by it has been duly and properly authorized, including approval by the local governing body in accordance with Va. Code § 56-- 575.16 (as evidenced by the signature of approval on behalf of Owner Xxxxxxxx County affixed to this Agreement). Owner further warrants that it has secured all necessary financing to be able to compensate the Contractor for the work performed under this Agreement.
