REPRESENTATIONS AND WARRANTIES OF BBH. In connection with the purchase and sale of the Shares and in order to induce Citadel to enter into and consummate the transactions contemplated by this Agreement, BBH makes the representations and warranties set forth in this Section 3 to Citadel, as of the date of this Agreement and as of the Closing Date (except for representations and warranties expressly and specifically relating to a time or times other than the date hereof or thereof, which shall be made as of the specified time or times). For purposes of this Agreement, to the extent that any disclosure made by the Company would be required to be made in more than one section of Company's Disclosure Schedule, such disclosure may be made by a cross-reference to information set forth in any other sections of Company's Disclosure Schedule.
